Meta plans to issue a new class of non-voting Class C stock, with issuance expected in January and trading from 2027, to fund AI investment, acquisitions and employee compensation without diluting Mark Zuckerberg's voting control. The company disclosed the move alongside third-quarter results and raised its 2026 capital expenditure guidance to USD 135 billion to USD 145 billion.

The market reaction was severe. Meta shares fell about 7 percent on Thursday and more than 9 percent over the week, as investors focused on negative free cash flow and a regulatory filing warning that the company may need to raise hundreds of billions of dollars starting in autumn 2026. JPMorgan noted that the planned issuance creates an overhang on the stock until the shares are actually sold.

The strategic reading is that hyperscaler capital spending has outgrown operating cash flow. Meta is not alone: SpaceX guided fourth-quarter capex to as much as USD 40 billion, Amazon plans about USD 220 billion this year, and Anthropic has booked commitments reported at USD 517 billion. When buildouts are financed with equity rather than retained earnings, order timing becomes a function of capital-market windows rather than of demand alone.

That matters to anyone selling hardware into these programmes. A supplier holding a purchase order from a customer that is mid-raise carries financing risk that does not appear on the order itself. Practical protections include milestone-based billing, partially prepaid tooling and long-lead deposits, and a contractual right to re-phase deliveries if a programme slips by more than a quarter.

It also argues for portfolio discipline. Suppliers that treat one hyperscaler as their growth plan should map revenue concentration by customer and by programme, and should keep a second channel in industrial, automotive or medical markets where capex cycles are slower and payment terms are shorter.

Meta separately agreed to acquire AI data analytics platform Sundial, which fits the same pattern of spending on capability rather than only on capacity. Buyers and suppliers alike should read these moves as a multi-year capital commitment with financing risk attached, not as a single quarter of exuberance.
